  • ELIGIBILITY
    - Open only to residents of the United States of America, Canada, Mexico and the United Kingdom who, at the time of entry, have reached the age of majority under the laws of the country of their residence.
  • CONTEST TIMELINE
    - Entry Period: The entry period for this Contest will begin at 12:00 a.m. Pacific Time on September 22, 2014 and will end at 11:59 p.m. Pacific Time on January 15, 2015.- Judging and Selection of Finalists: Beginning on January 16, 2015, Sponsor will conduct judging of all eligible entries received during the Entry Period and will select ten (10) finalists to advance to the public voting phase.     - upload your video to YouTube.com and/or Vimeo.com for public viewing; and

    - go to the website www.sabanshorts.com and complete the online entry form by providing your full name, email address, mailing address, a daytime phone number, and your electronic signature, along with the link(s) to your video as posted on YouTube.com and/or Vimeo.com.

  • PRIZE
    - The Winner of this Contest will receive a cash prize in the amount of US $5,000; and- will also be offered an opportunity to work as a creative consultant to Sponsor or an affiliate of Sponsor in the development of a potential animated program or series.
  • OWNERSHIP RIGHTS
    - You retain copyright ownership in all your videos submitted in this Contest.- We get:
  • the EXCLUSIVE, worldwide, freely assignable and freely sublicensable right and option (but with no obligation) to negotiate to buy all the rights to your animated short, and this option shall continue and remain in effect until the end of the Contest on February 11, 2015.

OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. OPEN ONLY TO RESIDENTS OF THE UNITED STATES OF AMERICA, CANADA, MEXICO AND THE UNITED KINGDOM WHO, AT THE TIME OF ENTRY, HAVE REACHED THE AGE OF MAJORITY UNDER THE LAWS OF THE COUNTRY OF THEIR RESIDENCE. VOID WHERE PROHIBITED BY LAW. BY ENTERING THIS CONTEST, EACH ENTRANT (“YOU”) ACCEPTS AND AGREES TO BE BOUND BY THESE OFFICIAL RULES.

        1. SPONSOR: This Contest is sponsored by Saban Brands LLC, 10100 Santa Monica Blvd., Suite 500, Los Angeles, California 90067, U.S.A. (hereinafter “Sponsor” or “we”).

 

Sponsor and its parent, subsidiary and affiliated companies, Sponsor’s advertising, promotional and prizing agencies and partners for this Contest, and all other persons and entities directly involved in the organization, operation or administration (including the entry, judging, and public voting process) of this Contest, will be referred to hereinafter collectively as “Sponsor and Related Parties.”

 

Google Inc., YouTube, LLC, and Vimeo LLC are not sponsors of this Contest.

 

        1. CONTEST TIMELINE: This Contest consists of the following phases:

 

(i)     Entry Period: The entry period for this Contest will begin at 12:00 a.m. Pacific Time on September 22, 2014 and will end at 11:59 p.m. Pacific Time on January 15, 2015 (hereinafter the “Entry Period”). “Pacific Time” refers to that observed in the United States of America. Sponsor-designated computer shall be the official time keeping device for this Contest. It is entirely each entrant’s responsibility to observe time zone differences.

 

(ii)    Judging and Selection of Finalists: Beginning on January 16, 2015, Sponsor will conduct judging of all eligible entries received during the Entry Period and will select ten (10) finalists to advance to the public voting phase. The finalists will be announced by Sponsor on or before January 26, 2015.

 

(iii)   Public Voting Phase: The ten (10) finalists will undergo public voting, beginning on January 26, 2015 and ending on February 9, 2015.

 

(iv)   Winner Announcement: The final winner in this Contest will be determined based on the results of public voting and will be announced on or about February 11, 2015.

 

All dates and times are subject to change (in Sponsor’s sole discretion) in the event of technical issues or external causes affecting Sponsor’s web or email servers, the Contest Website (as defined in Section 4.1 below), YouTube, Viemo, or the entry, judging, voting, or other process of this Contest.

 

        1. ELIGIBILITY: This Contest is open only to residents of the United States of America, Canada, Mexico, and the United Kingdom who, at the time of entry, have reached the age of majority under the laws of the country of their residence. The officers, directors and employees of Sponsor and Related Parties as well as members of their immediate families and/or households (whether related or not) are not eligible to participate.

 

Proof of age, identity, and eligibility must be furnished to Sponsor upon request. All potential winners are subject to eligibility verification by Sponsor, and an entrant is not a winner of any prize unless and until his/her eligibility has been verified by Sponsor. Sponsor will not accept other evidence of winning in lieu of its own verification. By participating, all entrants agree to abide by these Official Rules and the decisions of Sponsor and its agents, which are final and binding in all respects and in all matters related to this Contest and compliance with these Official Rules.

 

        1. HOW TO ENTER: To participate in this Contest, you must have Internet access and have an active account on YouTube.com or Vimeo.com. It is free to create an account on both websites.

 

4.1    To enter, please do the following during the Entry Period specified in Section 2(i) above:

 

(i)     create a 1-10 minute animated video featuring a comedy or action theme;

(ii)    upload your video to YouTube.com and/or Vimeo.com for public viewing; and

(iii)   go to the website www.sabanshorts.com (the “Contest Website”) and complete the online entry form by providing your full name, email address, mailing address, a daytime phone number, and your electronic signature, along with the link(s) to your video as posted on YouTube.com and/or Vimeo.com.

You may create and submit multiple videos as separate entries in this Contest provided that each entry must comply with these Official Rules, including, without limitation, the content requirements set forth in Section 4.2 below. Please ensure that all your videos comply with YouTube’s and Vimeo’s respective terms and policies (including, without limitation, their community and copyright policies, which can be found at https://www.youtube.com/t/community_guidelines and http://vimeo.com/help/guidelines). Sponsor is not responsible if your video is disabled or removed by YouTube or Vimeo (as applicable). Your entry will be deemed void if the link to your video is not publicly accessible or is no longer active because your video has been disabled or removed by YouTube or Vimeo (as applicable).

 

This Contest is limited to online entry only, and no other method of entry will be accepted. Any entries not received by Sponsor in the manner herein specified will not be entered into this Contest. Entries must be received within the Entry Period, or will be deemed void. Incomplete entries are deemed void. Sponsor is not responsible for entries that are lost, late, misdirected, incomplete, incomprehensible, illegible, damaged, undeliverable or delayed. All entries submitted become the property of Sponsor and will not be returned. If a dispute arises as to who submitted an entry, the entry will be deemed submitted by the authorized YouTube or Vimeo (as applicable) account holder. The authorized account holder is deemed to be the natural person who is assigned the YouTube or Vimeo (as applicable) account from which the entry was submitted.

 

4.2    Without limitation to the other terms and conditions of these Official Rules, each of your videos submitted in this Contest must comply with the following content requirements:

 

(i)     Your video must be animated and not live action.

 

(ii)    Your video must be entirely your own original and independent creation, and must not contain any content or material not owned by you. For example, you should not use any third-party music, graphic, image, visual design, animation, video or audio footage, character, storyline, script, dialog, name, mark or logo in your video. For the avoidance of doubt, you should also not use any content or material that belongs to Sponsor or its affiliates, including, without limitation, any character, design, name or logo associated with Power Rangers, Digimon, Julius Jr., Popples, or EmojiVille.

 

(iii)   Your video must not contain any of the following:

        • content that contains the identity or personally identifiable information of any individual (other than yourself), including, without limitation: name, likeness, voice, biographical information, email address, physical address, phone number, or any other personal contact information;
        • content in violation of anyone’s copyright, trademark, right of publicity, right of privacy, or any other property or personal right;
        • content that impersonates another individual;
        • content that is libelous, defamatory, disparaging or tortious;
        • content that is pornographic or sexually explicit;
        • content portraying or advocating discrimination;
        • content portraying or advocating illegal activities;
        • content portraying or advocating tobacco, alcohol or drugs;
        • content that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or any basis protected by federal, state or local law, ordinance or regulation; or
        • content that denigrates, disparages or reflects negatively on Sponsor or any of its affiliates or any of its/their employees, products or services, or on any other person or entity, including any competitor of Sponsor or its affiliates.

 

If a video includes any of the prohibited elements listed above, the video will be disqualified, along with the entrant who submitted it. The above list is not intended to be exhaustive, and Sponsor may disqualify any video that it deems, in its sole discretion, to be offensive or improper in any way.

 

4.3    By entering this Contest, you represent and warrant as follows:

 

(i)     All information provided by you on the entry form is truthful, current and accurate;

 

(ii)    You meet the eligibility requirements set forth in these Official Rules;

 

(iii)   Each video submitted by you is in compliance with all of the content requirements set forth above; and

 

(iv)   You own and control all rights in each video submitted by you, and no third party has any right or interest in your video.

 

        1. Judging and Selection of Finalists: After the Entry Period closes, Sponsor’s designees (the “Judges”) will screen all the entries received to verify their compliance with these Official Rules (including the content requirements set forth in Section 4.2 above), and non-compliant entries (as determined by the Judges) will be disqualified. Then, from the qualified entries the Judges at their absolute and sole discretion will select ten (10) videos as the finalists (the “Finalists”) based on their evaluation as to the quality of animation, overall creativity, and originality in storyline. The ten (10) Finalists will be announced on the Contest Website on or before January 26, 2015. By entering this Contest, you acknowledge and accept all decisions of the Judges and Sponsor as final and binding, and agree to be bound thereby.

 

        1. PUBLIC VOTING AND FINAL WINNER SELECTION: From January 26, 2015 to February 9, 2015, the ten (10) Finalists will be posted on the Contest Website for public voting. Voting is open to all visitors of the Contest Website and no registration is required to vote. Voting Is Limited to One Vote Per Video Per Day. A voter may submit votes on different videos on the same day and may vote on the same video on different days. Other than the limit of one vote per video per day, there is no limit as to how many votes a voter can submit on a particular video or how many videos a voter can vote on during the public voting period. Votes must be cast manually by a user. Votes generated by a script, macro or other automated means will not be accepted or counted.

 

Of the ten (10) Finalists, the video that receives the highest number of votes will be the “Winning Video” and the entrant that submitted the Winning Video will be the “Winner” of this Contest. The results of the voting, including the Winning Video and the Winner, will be announced on the Contest Website on or about February 11, 2015. NOTE: In the event of a tie in the number of votes between two or more videos, the Judges at their absolute and sole discretion will determine the final winner based on their evaluation and comparison of the videos in question in terms of animation quality, overall creativity, and originality in storyline. By entering this Contest, you acknowledge and agree that Sponsor’s and its designee’s tally of the number of votes received by each video and the decision of the Judges in the event of a tie will be final and binding.

 

        1.       PRIZE; ODDS OF WINNING: Subject to the terms and conditions set forth in Section 8 below, the Winner of this Contest will receive a cash prize in the amount of US $5,000 (the “Cash Prize”) and will also be offered an opportunity to work as a creative consultant to Sponsor or an affiliate of Sponsor in the development of a potential animated program or series subject to section 8(ii)(1) (which may or may not be based on the Winning Video) (collectively, the “Prize”).

 

This Contest has not previously been offered. Odds of winning in this Contest depend on the quality and merits of the eligible entries received as determined by the Judges and the public voting in accordance with these Official Rules.

 

Prize is not transferable, is not redeemable for cash, and is not substitutable except by Sponsor who reserves the right to substitute a prize (or any portion thereof) with an alternative prize of comparable or greater value, at its sole discretion.  Non-cash prize (if applicable), unless expressly otherwise stated, is provided “as is” without warranty of any kind, express or implied. Prize details not covered by these Official Rules are at Sponsor’s sole discretion. The Winner is solely responsible for any and all federal, state and local taxes assessed based upon the receipt of prize.

 

        1. WINNER NOTIFICATION AND PRIZE FULFILLMENT:On or about February 11, 2015, Sponsor will send a winner notification via email to the Winner’s email address provided on the entry form. To claim and receive the Prize, the Winner must do all of the following within seven (7) days of receiving Sponsor’s winner notification email:

 

(i)     send a reply email to Sponsor, acknowledging receipt of the winner notification and confirming that he/she is the entrant that submitted the Winning Video and wishes to claim and receive the Prize; and

 

(ii)    completing, signing and returning all the requisite documents and information specified by Sponsor, including, without limitation:

 

(1)       a winner affidavit and release, which will provide, among other things, that: he/she understands and acknowledges that while he/she will be offered an opportunity to work as a creative consultant to Sponsor or an affiliate of Sponsor in the development of a potential animated program or series, any actual consulting arrangement with Sponsor or any affiliate of Sponsor will be subject to the parties entering into a written engagement agreement on terms and conditions mutually agreed upon by the parties, and Sponsor and its affiliates do not make any representation or warranty, express or implied, that any program or series will eventually be created or produced as a result of such consulting arrangement;

 

(2)       a photocopy of his/her government-issued photo ID (such as a driver’s license or passport); and

 

(3)       the applicable IRS tax form for the Cash Prize.

 

(all of the foregoing collectively as the “Winner Documents/Information”).

 

Within approximately fourteen (14) days after Sponsor receives and verifies all the Winner Documents/Information as correct and complete, Sponsor will deliver the Cash Prize – which will be in the form of a cashier or certified check made payable to the Winner – to the mailing address designated on the Winner’s entry form, using delivery method and carrier as determined by Sponsor. If Sponsor determines that the Winner Documents/Information received are incomplete, erroneous, or otherwise not in order, Sponsor may delay the delivery of the Cash Prize until correct and complete Winner Documents/Information are received.

 

NOTE: If a winner cannot be reached or fails to claim a prize or fails to return the requisite winner documents or information in complete and proper order within the specified time period, or if the prize is returned as undeliverable, or if a winner is found to have violated any of the provisions of these Official Rules, that winner will be deemed to have forfeited the prize. In such case, the prize will be awarded to an alternate winner as determined by Sponsor pursuant to these Official Rules.

 

        1. ADDITIONAL TERMS AND CONDITIONS: By entering this Contest, you acknowledge and agree that your participation in this Contest is expressly subject to the following additional terms and conditions:

 

(i)     You retain copyright ownership in all your videos submitted in this Contest. However, in consideration of the opportunity to participate in this Contest, you irrevocably and unconditionally grant to Sponsor and Related Parties and their successors and assign the following rights on a gratis and royalty-free basis:

 

 

 

(1)    the EXCLUSIVE, worldwide, freely assignable and freely sublicensable right and option (but with no obligation) to negotiate to buy all the rights to your animated short, and this option shall continue and remain in effect until the end of the Contest on February 11, 2015;

 

(the foregoing rights collectively as the “Granted Rights”).

 

(ii)       By entering this Contest, you acknowledge and agree that: (1) your video submission is not being made in confidence or in trust, and no fiduciary or confidential relationship of any kind (whether express or implied) is created between you and any of Sponsor and Related Parties by reason of your submission; (2) Sponsor and Related Parties and their successors and assigns will have no obligation to use your video(s) submitted in this Contest in any manner or for any purpose, and any use (or non-use) thereof will be at their sole and absolute discretion; (3) if Sponsor and Related Parties and their successors and assigns decide to exercise any of the Granted Rights with respect to any video submitted by you in this Contest, you will have no right or claim to any compensation, payment, credit, attribution, notice, approval or inspection of any kind whatsoever with respect to any use of your video by Sponsor and Related Parties and their successors and assigns pursuant to the Granted Rights, except as expressly otherwise provided in these Official Rules; (4) other persons, including, without limitation, employees and contractors of Sponsor and Related Parties, may have independently developed, or may hereafter independently develop content or material that is identical or similar to your video(s) submitted in this Contest, including, without limitation, identical or similar characters, designs, artwork, or storylines; and (5) your submission is not returnable by Sponsor and may be retained indefinitely by Sponsor and Related Parties and their successors and assigns. You further waive any and all “moral rights” in all your videos submitted in this Contest with respect to the exercise of the Granted Rights by Sponsor and Related Parties and their successors and assigns.

 

(iii)      By entering this Contest, you acknowledge and consent to the collection and use of your personal information (as provided on your entry form and in your video submission) by Sponsor and Related Parties in connection with this Contest as well as in accordance with Sponsor’s Privacy Policy published at www.sabanshorts.com/privacypolicy. By entering this Contest, you accept and agree to be bound by Sponsor’s Privacy Policy published at www.sabanshorts.com/privacypolicy.

 

Pursuant to European Union data protection laws, entrants from the United Kingdom are further informed as follows:

 

(1)    Saban Brands LLC is the data controller and the data recipient for this Contest.

 

(2)    Your personal information is collected and processed for purposes of conducting and administering this Contest.

 

(3)    You have a right to access, update, delete or withdraw your personal information collected and processed by Saban Brands LLC in connection with this Contest, by emailing your request to sabanshorts@sabanshorts.com. For your protection, Saban Brands LLC may require verification prior to making an update or change to your personal information previously submitted. NOTE: If you delete or withdraw your personal information during this Contest, Saban Brands LLC may be unable to notify or award the Prize to you should you be selected as the final winner.

 

(4)    Your personal information will be transferred to the United States of America.

 

(iv)      By entering this Contest, you also acknowledge and agree that: (1) the decisions of Sponsor and the Judges (as applicable) in this Contest are final and binding in all respects; (2) Sponsor reserves the right in its sole discretion to reject and disqualify your entry for any reason; (3) Sponsor’s failure to enforce any provision of these Official Rules does not constitute a waiver of that provision; and (4) Sponsor and Related Parties will NOT be responsible or liable for: any late, lost, stolen, forged, mutilated, corrupted, incomplete, illegible or misdirected entry; any error, omission, misinformation, or misidentification in any entry; any claim or dispute arising out of your participation in this Contest or your receipt, ownership, possession, use or consumption of any prize (including, without limitation, any claim or dispute arising between or among any members of your team as to the allocation, division and/or use of any prize); any computer hardware, software, Internet, network, cable, phone, or other communication or technical errors, failures, malfunctions, interruptions, or delays; and/or any damage to your or any other person’s computer hardware, software or data that results from participation in this Contest or accessing, downloading or using any tools, files, data, software, or other materials in connection with this Contest.

 

(v)       AS A CONDITION OF ENTRY INTO THIS CONTEST, YOU AGREE TO INDEMNIFY AND HOLD HARMLESS SPONSOR AND RELATED PARTIES AND THEIR SUCCESSORS AND ASSIGNS, GOOGLE INC., YOUTUBE, LLC, VIMEO LLC, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, CONSULTANTS AND ADVISORS, FROM AND AGAINST any and all third-party claims, demands, causes of action, actions and suits (including any and all liabilities, damages, judgments, awards, losses, costs, attorneys’ fees and other expenses associated therewith) arising out of: (1) your participation in this Contest; (2) any video, information, or other material submitted by you in this Contest; (3) your receipt, acceptance, ownership, possession, use, MISUSE, or consumption of any prize awarded in this Contest; and/or (4) your breach or violation of any of the provisions of these Official Rules or any applicable law.

 

(vi)      By entering this Contest, you release and forever discharge Sponsor and Related Parties and their successors and assigns, Google Inc., YouTube, LLC, Vimeo LLC, and each of their respective officers, directors, employees, agents, representatives, consultants and advisors from any and all actual and potential, known and unknown, suspected and unsuspected claims, demands, causes of action, liabilities, losses and damages (collectively “Claims”) arising out of or relating to this Contest, your participation in this Contest, or your receipt, possession, ownership, use, misuse, or consumption of any prize awarded in this Contest, or the exercise of any of the Granted Rights by Sponsor and Related Parties and their successors and assigns, including, without limitation, Claims for personal injury or death, damage to or loss of property, copyright infringement, idea theft or misappropriation, violation of right of publicity or privacy, defamation, libel, and false light, whether intentional or unintentional, and whether under a theory of contract, tort (including negligence), warranty or otherwise.

 

(vii)     If the Contest Website or Sponsor’s YouTube or Vimeo channel (or any portion thereof) becomes corrupted or otherwise malfunctions, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in Sponsor’s sole opinion, corrupt or affect the administration, security, fairness, integrity, or proper operation of the this Contest, Sponsor shall have the right, at its sole discretion, to disqualify any entrant implicated in such action, and/or to cancel, terminate, modify or suspend this Contest or any portion thereof. CAUTION: Any attempt to deliberately harm or damage the Contest Website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws. Should such an attempt be made Sponsor reserves the right to seek all remedies available at law and in equity.

 

        1. DISPUTE RESOLUTION; CHOICE OF LAW: Except where prohibited by law, by entering this Contest you acknowledge and agree that: (i) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or any prize awarded or the determination of any winner in this Contest, will be resolved individually, without resort to any form of class action, and exclusively by arbitration pursuant to the Rules of the American Arbitration Association, then effective; (ii) any and all claims, judgments and awards will be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest but in no event attorneys’ fees or expert witness fees; (iii) under no circumstances will you be permitted to obtain awards for and you hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased; and (iv) in the event you cannot be bound to arbitration according to local laws, then any and all disputes, claims, and causes of action arising out of or connected with this Contest, or any prize awarded or the determination of any winner in this Contest, will be resolved individually, without resort to any form of class action, in an action in a State or Federal court located in Los Angeles, California, U.S.A. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of an entrant and/or Sponsor in connection with this Contest, will be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without regard for conflicts of law doctrine of any jurisdiction.

 

        1.     SEVERABILITY: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision so long as the general intent of these Official Rules remains in effect. In the event that any such provision is determined to be invalid or otherwise unenforceable, these Official Rules will be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.
